Terms of Service

These Terms of Service ("Terms") govern your use of services provided by 
EcomLadder ("we", "us", "our"), with registered address 30 N Gould St Ste R, 
Sheridan, WY 82801, United States. By engaging our services or using our 
website, you agree to these Terms.

1. Services
EcomLadder provides web development, Shopify theme and app development, 
UI/UX design, technical audits, performance optimization, and related 
digital services. The exact scope, deliverables, and timeline of each 
project are defined in a separate Statement of Work (SOW) or proposal.

2. Project Estimates and Pricing
We provide upfront time estimates and charge fixed prices based on those 
estimates. If a project requires less time than estimated, we communicate 
this openly. If additional scope is required, we discuss and agree on it 
in writing before proceeding.

3. Payment Terms
- Deposit (typically 50%) is required before work begins.
- Final payment is due upon project completion and before final file 
  handover or production deployment.
- Invoices are payable within 14 days unless otherwise agreed.
- Late payments may incur a 1.5% monthly interest charge.

4. Client Responsibilities
You agree to:
- Provide timely feedback, content, access credentials, and approvals.
- Ensure you own or have rights to all materials provided to us.
- Designate a single point of contact for the project.
Project timelines depend on timely client cooperation. Delays caused by 
the client may extend the timeline and shift our delivery commitments 
accordingly.

5. Intellectual Property
- Upon full payment, you own the final deliverables produced specifically 
  for your project (custom code, designs, content).
- We retain ownership of our pre-existing code, frameworks, libraries, 
  internal tools, and methodologies, and grant you a perpetual, 
  non-exclusive license to use them as integrated into your deliverables.
- We may use the project in our portfolio and marketing materials unless 
  you request otherwise in writing.

6. Confidentiality
Both parties agree to keep confidential information shared during the 
engagement private and to use it only for the purpose of the project.

7. Warranty and Bug Fixes
We warrant that delivered work will function as described in the SOW. 
Bug fixes for issues introduced by our work are provided free of charge 
for 30 days after delivery. Changes due to third-party platform updates 
(Shopify, browser changes, etc.) or new requirements are billed separately.

8. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim 
arising from the services is limited to the fees paid by you for the 
specific project giving rise to the claim. We are not liable for indirect, 
incidental, or consequential damages, including loss of profits, data, 
or business opportunities.

9. Third-Party Services
Our work may depend on third-party platforms (Shopify, hosting providers, 
plugins, APIs). We are not responsible for outages, changes, or issues 
caused by such third parties.

10. Termination
Either party may terminate a project with written notice. Fees for work 
completed up to the termination date remain payable. See our Refund 
Policy for refund terms.

11. Governing Law
These Terms are governed by the laws of the State of Wyoming, United 
States, without regard to its conflict of law provisions. Any disputes 
will be resolved in the courts of Wyoming, unless both parties agree to 
arbitration.

12. Changes to These Terms
We may update these Terms from time to time. The latest version will 
always be posted on our website.
